LedgerTB is general-purpose software—not accounting, tax, legal, investment, audit, assurance, or other professional advice or services. The professional using it remains responsible for the books and every conclusion drawn from them.

Software, not professional services

Using LedgerTB does not create a CPA-client, accountant-client, attorney-client, fiduciary, or other professional relationship with Ledger Labs LLC, Charlie Barmore, or any contributor.

Double-entry mechanics, review workflows, reports, and audit history do not establish that a book, import, entry, report, close package, tax position, or other conclusion is accurate, complete, appropriate, compliant, or suitable for a particular purpose. A balanced trial balance is not proof that all activity was imported or recorded correctly.

Your responsibility

You are responsible for determining whether LedgerTB is appropriate; having authority to process and disclose the data involved; reviewing and verifying source data, imports, entries, reconciliations, reports, close packages, and AI output; applying professional judgment; and complying with applicable laws, standards, contracts, and firm policies.

You are also responsible for internal controls, record retention, independent backups, recovery testing, and protection of devices, book files, passphrases, API keys, credential vaults, export folders, and shared storage. Test LedgerTB with non-production data before relying on it for client or business work.

AI and assistant features

AI suggestions and agent actions can be incomplete, inaccurate, or inappropriate. Access controls and review surfaces reduce risk; they do not replace human supervision. At the post level, an assistant may append balanced entries without prior approval. A person remains responsible for reviewing that activity, correcting it through visible new entries, and recording professional signoff.

When optional AI or MCP features are enabled, selected data may be sent by LedgerTB or the user's MCP client to a configured provider. The user is responsible for approving that provider and its terms, retention, training, security, and data practices.

Security, availability, and third parties

Encryption, loopback binding, permission controls, audit history, and backups reduce risk but cannot guarantee confidentiality, integrity, availability, or freedom from defects. Ledger Labs LLC does not promise uninterrupted operation, future updates, universal compatibility, or recovery of lost or damaged data.

Operating-system vendors, storage providers, AI providers, MCP clients, Cloudflare, GitHub, and other third parties operate under their own terms and privacy practices. Ledger Labs LLC is not responsible for third-party products, services, outages, acts, or omissions.

No warranty and limitation of liability

LEDGERTB IS PROVIDED “AS IS” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NONINFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

To the fullest extent permitted by applicable law, Ledger Labs LLC, its owners, and contributors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; business interruption; loss or exposure of data; substitute services; penalties; professional claims; or decisions made or not made using LedgerTB, under any theory of liability.

Some jurisdictions do not allow particular exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law, and non-waivable rights remain in effect.
